Baobabmart Affiliate Program Terms and Conditions

Important Note: This Agreement includes a mandatory arbitration provision in Section 22, requiring individual arbitration for disputes, waiving the right to sue in court or participate in class actions. Arbitration has no judge or jury, with limited discovery and appeal.

This Agreement, including the Privacy Notice, Payout Details, and exhibits, governs your participation as a marketing affiliate in the Baobabmart Affiliate Program (“Program”). “We/us/Baobabmart” means Baobabmart and its affiliates; “you” means the applicant affiliate. “Site” means www.baobabmart.com or the Baobabmart mobile app, linked via Qualifying Links (defined in Section 2). “Content” means content created by you about Baobabmart, its products, or services for the Program.

You must comply with social media policies (e.g., TikTok, Instagram).

1. Enrollment in the Program

Eligibility: You must be of majority age (at least 18 in most jurisdictions) and not a current Baobabmart employee. Submit an Application for evaluation; submission accepts these terms. Baobabmart may accept or reject Applications at its discretion, including if the Affiliate Website is unsuitable (e.g., promotes objectionable content). Re-apply anytime if rejected, but do not link to the Site without approval.

As a member, you grant permission for Baobabmart to send necessary emails, regardless of opt-out preferences. Baobabmart uses a third-party platform (e.g., Impact Radius or equivalent, “Platform”) for tracking sales, clicks, and commissions. Creating a Platform account does not guarantee Program participation.

2. Links on Your Website or Third Party Websites

Upon acceptance, Qualifying Links (URLs or graphics from Baobabmart/Platform) are provided to link your Affiliate Websites to the Site directly and exclusively. Baobabmart approves Affiliate Websites; unauthorized use breaches the Agreement (remedies in Section 15).

Qualifying Links identify authorized participation and track links. Use only on Qualifying Products (Section 5) featured in Content or the website. Display clear, unavoidable disclosure as an advertisement next to Qualifying Links (see Section 4). Non-compliance may lead to suspension/termination.

Use only provided Licensed Materials (logos, trademarks, etc.); update as directed. Pre-approved web widgets are Qualifying Links, subject to all terms.

Only valid Qualifying Links track Commissions. Link only via Qualifying Links unless directed otherwise. Post multiple links if Affiliate Websites comply with terms, including suitability, no prohibitions (Section 3), and your responsibility for all websites (Section 13). Position/prominence is discretionary but complies with requirements.

Disclose in your privacy policy that Program participation allows Baobabmart to place/recognize cookies and receive visitor information, per Privacy Notice. You consent to Baobabmart’s access/storage/use/disclosure of such information. Do not collect Baobabmart customer account information.

Baobabmart may require additional terms for websites donating Commissions or providing rewards/points/cash-back.

Baobabmart handles order processing, fulfilment, payments, returns, and customer service per laws. We reject non-compliant orders. We track sales via Platform; ensure proper link formatting. Reports limited to Platform capabilities. Baobabmart is not responsible for improperly formatted links or tracking failures (e.g., cookie-blocking browsers).

3. Prohibitions

The Agreement is non-exclusive for linking to the Site.

(a) General Prohibitions:

  • Do not engineer websites to pull traffic from Sites.
  • Do not provide Commissions to violating websites/organizations.
  • Do not violate third-party rights or Agreement terms.
  • Do not offer incentives (money, rebates, discounts, points, donations) for using Qualifying Links (e.g., no sweepstakes).
  • Do not use “dupe” language for product comparison.
  • Do not place Qualifying Links on/close to Objectionable Content (material promoting prohibited items, per Baobabmart’s discretion: illegal activity, hate speech, violence, counterfeit goods, etc.).
  • Do not modify/alter Site.
  • Do not frame/wrap Site without written permission (email to hello@baobabmart.com).
  • Do not scrape/spider Site.
  • Do not participate in ad networks or paid search.
  • Do not use deceptive visuals (e.g., link to similar, not exact, product).
  • Do not engage in misleading behavior (e.g., fake contests).
  • Do not promote counterfeit or unauthorized products.
  • Do not promote restricted categories (e.g., pharmaceuticals without approval).
  • Do not link/redirect Qualifying Links elsewhere.
  • Do not include price tracking/alerting.
  • Do not shorten/obscure Qualifying Links to mislead.
  • Do not engage in ISP/mobile carrier relationships for address bar trafficking.
  • Do not use methods to intercept/redirect traffic or artificially increase Commissions (e.g., click spam, bots, stolen cards).
  • Do not use Trademarks/Licensed Materials for sales on your site fulfilled via Site.
  • Do not use Trademarks/Licensed Materials in ads suggesting Baobabmart sponsorship without approval.
  • Do not redistribute Licensed Materials to competitors.
  • Do not redistribute Licensed Materials/datafeeds to third parties.
  • Do not use cookie stuffing.
  • Do not cause spyware installation or obscure content.
  • Do not display harmful programming.
  • Do not use unapproved widgets including Trademarks/Licensed Materials.
  • Do not post Qualifying Links on Baobabmart’s official social media pages.
  • Do not forward/repurpose Qualifying Links to third parties.
  • Do not release sales promotions early.
  • publish, link to, sell, otherwise distribute, or place a Qualifying Link on the same page or in close proximity to any Objectionable Content. For purposes of this Agreement, “Objectionable Content” means any material, including textual, audio or video material, which contains or promotes any of the following, as determined by Baobabmart in its sole discretion:
    • sexually explicit material;
    • violence or hate toward any persons or groups, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
    • illegal activities;
    • the use of alcohol, tobacco, or gambling/lottery;
    • the use of pyramid, “ponzi”, or similar investment schemes;
    • violence or hate toward any persons or groups, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
    • the buying, selling, exchange, or trade of crypto or virtual currency (for example, Coinbase, Trezor, CashApp, Gemini, and similar websites);
    • defamatory, fraudulent, or harassing content to Baobabmart or any third party;
    • Content that violates the intellectual property rights of BaobabMart or its suppliers;
    • disparaging Content about BaobabMart or any of its executives, officers, employees, or agents;
    • Content that drives traffic to a website that is under construction or not live at the time of Application;
    • use of a browser extension on BaobabMart.com, unless you have written approval from BaobabMart;
    • disclosing personal information such as phone numbers, email addresses or asking viewers to do so;

(b) Prohibitions Regarding Use of Electronic Communications:

Electronic Communications (emails, texts, non-verbal without physical mail) require Baobabmart’s express written permission (email to hello@baobabmart.com).

  • Do not generate/use containing Trademarks, products, Qualifying Links/URLs.
  • Do not suggest/imply Baobabmart sponsorship/sender.
  • Do not forward/repurpose Baobabmart’s Electronic Communications.
  • Do not generate/send unsolicited (spam).

4. Transparency and Compliance with FTC's Endorsement Guidelines

Comply with FTC Endorsement Guidelines. Endorsement: advertising likely believed as others’ opinions/beliefs/experiences.

For Qualifying Links in Endorsements:

  • Disclose relationship clearly/conspicuously (unavoidable).
  • Label as “#BaobabmartPartner” or “paid link”.
  • For organizational Endorsements, ensure collective judgment process.
  • For individual Endorsements: Provide honest reflections based on genuine experiences.

Baobabmart may require takedown of deceptive Endorsements, suspend/terminate. Review Baobabmart Influencer Guidelines and FTC Disclosures 101.

5. Commission(s)

Commissions on product sales to third parties from Site via Qualifying Links. Customer must: enable cookies; follow Qualifying Link; purchase Qualifying Product via automated system; accept delivery; pay fully.

Commissions earned in Referral Window (cookie window after Site entry, typically 45 days), with re-entry directly during window (not via another affiliate). No Commissions on post-Window purchases, even if previously linked. No Commissions on free/natural search results (including organic Qualifying Links without Affiliate Website visit).

Non-Qualifying: Restricted items (e.g., gift cards, certain health products); check Platform for eligible products (“Qualifying Products”).

6. Commission Schedule

Commissions based on Qualifying Product sale price (Site price, excluding shipping/handling, etc.). Current details via Platform (“Affiliate Portal”). New partners earn 15%+ for first three months, 10%+ thereafter, plus bonuses.

Not all items listed; Baobabmart may exclude items. No warranty on Commissions for all items; accept actual payouts. Baobabmart may change Payout Details anytime without notice. Contact hello@baobabmart.com for eligibility questions.

7. Commission Payment

Payments ~90 days after month-end for shipped products, minus taxes. You are responsible for all taxes/penalties.

Returns before 60-day lock: deduct from next payment or invoice (payable in 60 days). Platform/Baobabmart determinations final. Secure Platform account; Baobabmart not liable for unauthorized access.

8. Policies and Pricing

Customers are Baobabmart’s; apply Baobabmart’s rules/policies. Baobabmart may change policies without notice. Baobabmart sets prices per policies; availability/prices vary. Use provided price info only, maintain accuracy, disclose Site price governs if differs. No guarantee on availability/prices.

9. Baobabmart Intellectual Property

Site content/materials (“Baobabmart IP”) owned/licensed by Baobabmart, protected by laws. Limited license to access/use via Qualifying Links and Licensed Materials for Program purposes only, to identify participation and generate sales.

No ownership in Site/Baobabmart IP/Licensed Materials beyond license. No sublicensing/assignment. No ownership in submitted materials/feedback/accounts. Assign all right/title in submitted feedback to Baobabmart. Baobabmart may terminate/revoke license anytime. Follow Trademark Requirements (Exhibit A).

10. Ownership

You own Content, except Baobabmart IP/materials remain Baobabmart’s. Grant Baobabmart/Licensees perpetual, royalty-free license to use/distribute/display/publish/reproduce Content, your identity indicia, trademarks, for marketing Baobabmart/products/services on their platforms, without notice/compensation/approval.

Waive moral rights; release claims (publicity/privacy/defamation). All rights exercisable by Baobabmart.

11. Legal Clearances

Secure written licenses/waivers/consents for third-party materials in Content (props, logos, music, photos). Deliver to Baobabmart on request. Baobabmart may require specific releases.

12. Procedure for Making a Claim of Copyright Infringement

Respect IP; report via DMCA Procedure.

13. Responsibility for Affiliate Website

You responsible for development/operation/maintenance of Content/Affiliate Website:

  • Technical aspects (hosting, equipment).
  • Product descriptions/links.
  • Update info (price/availability) within 24 hours of Site changes.
  • Accuracy/timeliness of content.
  • Monitor for Objectionable Content/unsuitability.
  • Remove Licensed Materials if Objectionable Content appears.
  • Notify Baobabmart/Platform of Objectionable Content within 6 hours.
  • Notify of Qualifying Link malfunctions.

14. Program Enhancements and Beta Features

Baobabmart may offer features/tools (“Program Enhancements”), including trials (“Beta Features”). Limited license to use; revocable. May discontinue anytime.

15. Term and Termination

Term starts on Application acceptance, ends on termination. Either party may terminate immediately (written notice, email ok). Remove Site content/links on termination. Commissions only for active period; earned Commissions payable if orders not canceled/returned. Remit overpayments. Withhold final payment if needed.

Additional termination for violations: immediate termination (including Network); withhold Commissions; seek injunctive/damages. Request compliance certification; monitor websites; unrestricted access on request. Non-compliance subjects to remedies.

16. Modification

Baobabmart may modify terms by posting notice/new agreement on Site. Efforts to notify; review terms periodically. Continued participation accepts changes. Termination if unacceptable.

17. Relationship of Parties

Independent contractors; no partnership/joint venture/agency/franchise/employment. No authority to bind Baobabmart. No contradictory statements.

18. Representations and Warranties; Indemnification

Represent/warrant:

  1. Authority to enter/perform.
  2. Sole owner of Content/copyrights.
  3. Age/majority; releases for persons in Content (minors’ guardians).
  4. No infringement/violation of third-party rights; no threatened claims.
  5. No pending/threatened lawsuits on Content.
  6. Releases for property in Content.
  7. Content opinions honest/based on experiences.
  8. Necessary licenses/consents; comply with laws (e.g., GDPR, UK Data Protection Act, CAN-SPAM, COPPA).
  9. No risks assumed by Baobabmart.

Indemnify Baobabmart/affiliates/distributors from claims/liabilities/losses/costs (including fees) from: Affiliate Website content/activities; Agreement breaches; misuse of services/materials; acts/omissions. Defend at your expense; Baobabmart may participate/assume defense (no relief from obligations). No settlement without consent.

19. Limitation of Liability

No liability for indirect/special/punitive/incidental/consequential damages (revenue/profits/data loss), even if advised. Aggregate liability not to exceed total Commissions paid in prior 12 months.

20. Disclaimer of Warranties

As is basis; no warranties (fitness, merchantability, non-infringement, etc.). No uninterrupted/error-free operation; correct promptly. Disclaim all statutory/express/implied warranties.

21. Independent Investigation

Read/agree to terms. No reliance on other representations. Non-exclusive; evaluate independently.

22. Dispute Resolution

Arbitration for all disputes (except small claims): individual basis, no jury/court/class/mass actions. Waiver of class arbitration/mass actions.

Initiate via Demand (mail to Baobabmart Legal Department, 24-26 Arcadia Avenue, Fin009, London, United Kingdom, N3 2JU): include contact, claims, remedy, signatures. Certify no improper purpose, warranted claims, evidentiary support.

File with AAA (or equivalent in UK/EU, e.g., CEDR) after 60 days; per applicable rules (modified). Conduct: dispositive motions, proportional discovery, teleconference hearings (in-person if appropriate). Offers of judgment, frivolous claims fees, follow law/terms, individual relief.

Appeals for manifest disregard of law. Bellwether for 25+ similar Demands: coordinate 10 cases.

Severability: if waiver invalid, arbitration doesn’t apply; sever invalid provisions.

Governed by English law (for UK operations) or applicable Cameroonian law; otherwise, laws of England and Wales.

23. Miscellaneous

No assignment without consent; binding on successors. No waiver of strict performance.

24. Publicity

No announcement/publication of Agreement/relationship (press releases, etc.) without submission/approval.

25. Confidentiality

Keep Confidential Information (terms, business/financial info, customer lists, etc.) confidential; no disclosure/use except as authorized. Secure maintenance. Exceptions: subpoena, advisors, law; notify Baobabmart for protective order. Disclose only required portion if compelled.

Exhibit A - Trademark Requirements

Requirements for Trademarks (Baobabmart name/logos/marks):

  1. No modification (translate, substitute, combine, add/delete, abbreviate, pluralize, tagline, misspell).
  2. Use only for authorized Program purposes.
  3. No false implication of relationship/affiliation.
  4. Less prominent than your trade name/marks.
  5. Positive manner; no negative/vulgar/obscene associations; no disparagement.
  6. No confusingly similar marks.
  7. Word Marks: Title Case/ALL CAPS/Bold.
